7. Term and Termination

Upon termination or expiry of this EULA: (i) the licence granted to you by this EULA will immediately terminate and cease, (ii) you must immediately and permanently delete or remove the Software from your computer equipment or systems (if applicable); and (iii) you must destroy or return (at our option) all copies of the Software and Documentation in your possession or control.

The clauses that by their nature continue and survive will survive any termination of this EULA, which shall include clauses 3, 4, 6, 7, 12 and 13.

You acknowledge that Atlassian may remove the Software from the Marketplace at any time in accordance with their policies, which may affect your ability to access or use the Software. In such event, the termination provisions of this section shall apply.

8. Changes to this Agreement

TimeFork.io may update or modify this EULA (including the Documentation) at its sole discretion.

For material changes that affect your rights or obligations under this EULA, we will use reasonable endeavours to provide you with at least 30 days prior notice.

For non-material changes (such as changes to our legal name, ownership structure, address, or other administrative updates that do not affect the substance of this agreement), we may implement such changes immediately by posting the updated EULA on our website without prior notice.

Furthermore, TimeFork.io reserves the right to modify this EULA (at its sole discretion) upon written notice to you in response to any changes or modifications that Atlassian makes to its Marketplace Partner Agreements with TimeFork.io.

When we make changes, we will revise the “Last Updated” date at the bottom of this EULA. The latest version will always be available on our website at https://timefork.io/end-user-license-agreement/. Your continued use of the Software after any modifications constitutes acceptance of the modified terms.

9. Orders and Fees

Our Software can be ordered through Atlassian’s ordering and licencing management system.

You may place an order for our Software with Atlassian (“Order”), which will specify the Scope of Use for the Software. Once you complete your Order, it will be up to Atlassian to provide you with access to the applicable Software, including any relevant licence or access keys.

You understand that payments, delivery, renewals, subscriptions and refunds are handled by and managed through Atlassian or Atlassian’s authorised resellers. We are not responsible for the processing of payments, delivery, renewals, subscriptions or refunds, and shall not be held liable for any matter in connection therewith.

Atlassian (or its reseller) will deliver the applicable licence keys or subscription instructions to the email address(es) you specified to Atlassian (or its reseller). All deliveries will be electronic. You are responsible for installation of the Software and its compatibility with your systems, other hardware, software and services.

10. Data Protection

Any personal data that we collect from you, your Authorised Users or the devices used by you and your Authorised Users will be subject to our Privacy Policy (as published on the Atlassian Marketplace). When you purchase through the Atlassian Marketplace, we receive access to certain customer information from Atlassian, including but not limited to your name, company name, and email address. We may also access data within your Atlassian products as necessary for the Software to function properly. We are solely responsible for our data handling practices and comply with applicable privacy laws including GDPR where applicable. We may collect and track technical information about your use of the Software including internet protocol addresses, hardware identifying information, operating system details, and software usage statistics. This information is used solely to maintain and improve the Software, provide support services, and conduct research and development.

By entering into this EULA, you agree that this Privacy Policy, as it exists at any relevant time, shall apply to you and your Authorised Users and is hereby incorporated into this agreement.

11. Events outside of our control

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this EULA that is caused by an Event Outside Our Control (as defined below).

An “Event Outside Our Control” means any act or event beyond our reasonable control, including without limitation failure of public or private telecommunications networks or problems inherent in the use of IT systems.

If an Event Outside Our Control takes place that affects the performance of our obligations under this EULA:

  • our obligations under this Licence will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control; and
  • we will use our reasonable endeavours to find a solution by which our obligations under this EULA may be performed despite the Event Outside Our Control.

12. Entire Agreement

This EULA constitutes the entire agreement between us and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter.

You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this EULA. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this EULA. 

13. Governing law and jurisdiction

This EULA, its subject matter and its formation (and any non-contractual disputes or claims) are governed by the laws of Poland. The parties irrevocably agree to the exclusive jurisdiction of the courts of Poland.

14. End of Life Policy

TimeFork.io follows Atlassian End of Life policy. We support all versions of Jira, Jira Service Management, and Confluence that have been released within the last two years. Earlier versions have reached End of Life and are unsupported.

15. Additional terms

When you purchase from the Atlassian Marketplace, Atlassian provides us with your contact information including name, company, and email address for licensing and support purposes.

By purchasing from TimeFork.io, you grant us the right to include your organisation as a customer in promotional materials. You may opt out by emailing [email protected].

You agree to comply with all applicable export and import control laws and regulations in your use of the Software, including but not limited to EU export controls and U.S. Export Administration Regulations.
